These Terms & Conditions (“Terms”) govern your access to and use of www.unleashtheknowledge.com and any related webpages, forms, content, communications, resources, and services made available by Unleash The Knowledge, LLC (“Unleash The Knowledge,” “UTK,” “Company,” “we,” “us,” or “our”).

By accessing or using our website, submitting information through our website or advertising funnels, booking a call, or otherwise interacting with our website, you agree to these Terms.

If you do not agree with these Terms, please do not use our website.

1. About Unleash The Knowledge

Unleash The Knowledge, LLC provides professional marketing, personal brand development, content strategy, LinkedIn ghostwriting, content creation, positioning, consulting, and related services for founders, executives, business owners, and professionals.

Information provided on this website is intended to explain our services and facilitate potential business relationships. Nothing on this website creates a client relationship by itself.

A client relationship with UTK is established only after the applicable parties enter into a separate written service agreement or other written agreement accepted by UTK.

2. Separate Client Service Agreements

If you purchase services from UTK, the scope of services, deliverables, payment terms, service period, cancellation provisions, intellectual property rights, confidentiality obligations, guarantees, refunds, and other terms related to those services may be governed by a separate service agreement.

If there is a conflict between these Website Terms and a signed client service agreement regarding paid services, the signed client service agreement will control with respect to those services.

3. The 7-Day Alignment Guarantee

Certain UTK service engagements may include our 7-Day Alignment Guarantee.

The purpose of the guarantee is to provide UTK and the client an initial period to determine whether the working relationship, communication, expectations, strategy, and overall fit are appropriately aligned.

During the first seven (7) days of an eligible engagement, either party may determine that the relationship is not the right fit and elect not to continue, subject to the specific terms contained in the applicable service agreement.

The 7-Day Alignment Guarantee is a relationship and alignment guarantee. It is not a guarantee of marketing performance, financial results, lead generation, LinkedIn reach, audience growth, engagement, revenue, sales, or any other specific business outcome.

Any refund, payment, cancellation, work-product, or other financial treatment resulting from use of the 7-Day Alignment Guarantee will be governed by the applicable client service agreement.

4. No Guarantee of Marketing or Business Results

Marketing, content creation, personal branding, social media, and business development involve numerous factors outside UTK's control.

Accordingly, UTK does not promise, represent, or guarantee any particular level of:

LinkedIn impressions or reach;

followers or audience growth;

engagement;

leads;

meetings or appointments;

sales opportunities;

clients or customers;

revenue;

profit;

return on investment;

speaking opportunities;

press or media exposure;

hiring opportunities;

partnerships;

fundraising outcomes; or

other business or personal results.

Examples, testimonials, case studies, screenshots, client results, and prior performance displayed by UTK represent individual experiences and are not promises that another person or business will achieve the same or similar results.

Your results will depend on numerous factors, including your offer, reputation, industry, audience, positioning, participation, responsiveness, market conditions, sales process, and factors outside UTK's control.

5. LinkedIn and Other Third-Party Platforms

UTK is an independent business and is not owned by, operated by, endorsed by, sponsored by, or affiliated with LinkedIn Corporation or Microsoft Corporation.

LinkedIn and other social platforms are independent third-party services governed by their own terms, policies, algorithms, systems, and business decisions.

UTK does not control and cannot guarantee:

how LinkedIn distributes content;

changes to LinkedIn's algorithm;

changes to platform policies or features;

organic reach;

account visibility;

platform uptime;

account restrictions;

account warnings;

suspensions;

bans;

security incidents;

changes in available functionality; or

any action taken by LinkedIn or another third-party platform.

To the fullest extent permitted by law, UTK will not be responsible for losses caused by a third-party platform decision, restriction, outage, algorithm change, suspension, account limitation, or other event outside UTK's reasonable control.

Nothing in these Terms limits UTK's responsibility for its own intentional misconduct or other liability that cannot legally be excluded.

6. Client and User-Supplied Information

UTK's work frequently depends upon information supplied by clients and prospective clients.

You are responsible for ensuring that information you provide to UTK is truthful, accurate, current, lawful, and that you have the right to provide and use it.

This may include:

personal stories;

professional experiences;

company information;

financial or business information;

customer information;

statistics;

claims;

quotations;

photographs;

videos;

logos;

trademarks;

research;

intellectual property;

testimonials;

case studies; and

third-party materials.

Clients are ultimately responsible for reviewing and approving content published in their name and for verifying material factual, legal, regulatory, financial, medical, technical, or other specialized claims when applicable.

UTK may rely reasonably upon information supplied by the client without independently verifying every statement.

You agree not to knowingly provide UTK with false, misleading, defamatory, infringing, confidential, unlawful, or unauthorized information or materials.

7. Content Review and Approval

Where UTK provides content for a client's review, approval by the client indicates that the client has reviewed the content and authorizes its intended use or publication.

Clients should notify UTK promptly if content contains factual inaccuracies, confidential information, legally sensitive information, or statements they do not wish to publish.

Specific approval procedures for paid engagements may be established in the applicable service agreement.

8. Artificial Intelligence and Technology-Assisted Workflows

UTK may use artificial intelligence, automation, software, transcription systems, research tools, editing tools, communications tools, and other technology to support portions of its internal operations and service delivery.

These technologies may assist with activities such as:

research;

ideation;

brainstorming;

organization;

editing;

transcription;

internal communications;

workflow management; and

operational efficiency.

AI and technology are tools used within UTK's broader service-delivery process and do not replace UTK's responsibility for providing the services agreed upon with a client.

Clients should avoid providing highly sensitive personal information that is unnecessary for the services being performed.

9. Intellectual Property — Website

Unless otherwise stated, the website and its original content, branding, design, graphics, videos, copy, frameworks, training materials, logos, processes, methods, resources, and other materials are owned by or licensed to Unleash The Knowledge, LLC and are protected by applicable intellectual property laws.

This may include UTK names, branding, methodologies, frameworks, and concepts used to describe our services.

You may access and view our website for legitimate personal or business evaluation purposes.

You may not, without prior written permission:

reproduce substantial portions of our website;

republish our proprietary materials;

sell or sublicense our materials;

falsely claim our work as your own;

copy our proprietary training materials for commercial use;

reverse engineer protected technology;

scrape the website in a manner that disrupts its operation; or

use UTK intellectual property in a misleading or unauthorized manner.

Ownership of materials created for paying clients is governed by the applicable client service agreement.

10. Testimonials, Case Studies, and Client Materials

UTK may feature testimonials, client logos, screenshots, content examples, results, case studies, or other client-related materials in its marketing only where UTK has obtained the client's permission or otherwise has lawful authorization to do so.

Permission may be addressed through a client service agreement or separate written approval.

Any testimonial or case study reflects the experience of the individual or company featured and should not be interpreted as a guarantee of future results.

11. Communications

If you submit information through our website, advertisements, application forms, lead forms, booking forms, or other channels, you authorize UTK to contact you regarding your inquiry and our services using the contact information you provide.

Depending on the permissions you provide and applicable law, communications may include email, telephone calls, or SMS/text messages.

Marketing communications are optional.

You may unsubscribe from marketing emails using the unsubscribe mechanism provided in the communication or by contacting us.

Where text messaging is offered and you have provided the applicable consent, message frequency may vary. Message and data rates may apply. Consent to receive marketing text messages is not a condition of purchasing UTK's services. You may revoke consent to receive texts at any time using the opt-out instructions provided with the messages, including by replying STOP where applicable.

Transactional or service-related communications may still be sent where reasonably necessary to administer an existing relationship or provide requested services.

12. Payments

Payments for UTK services may be accepted through payment methods including:

Stripe;

bank or wire transfer;

Zelle; and

approved third-party financing or payment options.

UTK does not necessarily store complete credit card information directly. Payment information submitted through a third-party provider may be processed according to that provider's own terms and privacy practices.

Payment obligations, recurring charges, deposits, financing arrangements, late payments, refunds, and cancellation provisions for client engagements are governed by the applicable proposal, invoice, payment authorization, financing agreement, or service agreement.

13. Financing

UTK may make third-party financing or payment-plan options available to qualifying customers.

Any financing decision, underwriting, approval, interest, fees, repayment obligations, or financing terms are controlled by the applicable third-party financing provider.

UTK does not guarantee financing approval and is not responsible for a financing provider's underwriting decisions or independent terms.

14. Electronic Communications

By using our website or communicating electronically with UTK, you consent to receiving agreements, notices, disclosures, invoices, and other communications electronically when permitted by law.

You agree that electronic records and communications may satisfy requirements that such communications be in writing.

15. Eligibility

Our website and services are intended for adults who are at least eighteen (18) years old.

By using the website, you represent that you are at least eighteen years of age and have the legal capacity to enter into these Terms.

16. Acceptable Use

You agree not to use our website to:

violate applicable law;

infringe another person's intellectual property or privacy rights;

19. Limitation of Liability

To the fullest extent permitted by applicable law, UTK and its owners, members, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of or inability to use the website.

This includes, where legally permitted, damages relating to lost profits, lost opportunities, lost revenue, loss of data, business interruption, or third-party platform actions.

For claims arising solely from use of the publicly available website and not governed by a separate client agreement, UTK's aggregate liability will not exceed the greater of one hundred dollars ($100) or the amount you paid UTK specifically for access to the website during the twelve months preceding the event giving rise to the claim.

Liability relating to paid client services may be governed separately by the applicable client service agreement.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Unleash The Knowledge, LLC and its members, officers, employees, contractors, agents, and representatives from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

your unlawful use of the website;

information or materials you knowingly provide without authority;

your infringement of third-party rights;

your violation of these Terms; or

unlawful conduct undertaken through your use of the website.

This provision does not require you to indemnify UTK for claims caused solely by UTK's own unlawful conduct where such indemnification is prohibited by law.

21. Informal Dispute Resolution

Before initiating arbitration or litigation relating to these Website Terms, you and UTK agree to make a good-faith effort to resolve the dispute informally.

A party may initiate this process by sending written notice describing the dispute and requested resolution.

The parties will have at least thirty (30) days following receipt of the notice to attempt an informal resolution before initiating a formal proceeding, unless immediate action is reasonably necessary to preserve legal rights.

22. Arbitration and Class Action Waiver

To the fullest extent permitted by law, disputes arising out of or relating specifically to these Website Terms that cannot be resolved informally will be resolved through binding individual arbitration under the Federal Arbitration Act rather than through a jury trial.

Arbitration will be conducted by a mutually acceptable arbitration provider or, if the parties cannot agree, by the American Arbitration Association pursuant to its applicable rules.

Arbitration will occur on an individual basis.

To the fullest extent permitted by law, neither party may pursue covered disputes as a plaintiff or class member in a class, consolidated, collective, or representative action.

Nothing in this section prevents either party from bringing an eligible claim in small claims court or seeking temporary or injunctive relief where legally appropriate.

If you enter into a separate service agreement with UTK containing a dispute-resolution provision, the service agreement will govern disputes arising from that engagement.

23. Governing Law

These Website Terms and disputes relating to them will be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where federal law controls or applicable law requires otherwise.

For disputes not subject to arbitration and not governed by another written agreement, the parties consent to the appropriate state or federal courts located in New Jersey, subject to applicable law.

24. Severability

If a provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible or modified as necessary to reflect its original intent, while the remaining provisions will continue in effect.

25. No Waiver

A failure by UTK to enforce a provision of these Terms does not waive the right to enforce that or another provision in the future.

26. Changes to These Terms

UTK may update these Terms periodically to reflect changes to our website, services, business practices, technology, or legal requirements.

The “Last Updated” date at the top of this page will indicate the most recent revision.

Your continued use of the website after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
